Marval Advised TMF Trust Company (Argentina) S.A. on the First Issuance under the Public Offering Regime for Financial Trusts with Automatic Authorization for Frequent Issuances under the “AMFAyS” Global Program

Marval O’Farrell Mairal acted as legal counsel to TMF Trust Company (Argentina) S.A. in connection with the issuance of trust securities corresponding to the AMFAyS 53 Financial Trust, under the “AMFAyS” Global Trust Securities Program, for a total nominal amount of ARS 3,614,615,169. The transaction constituted the first issuance under the Program carried out pursuant to the public offering regime with Automatic Authorization for Frequent Issuances.

The issuance took place on October 13, 2026, and included Class A Trust Debt Securities (VDFA) with a nominal value of ARS 2,109,174,987, Class B Trust Debt Securities (VDFB) with a nominal value of ARS 212,258,074, Class C Trust Debt Securities (VDFC) with a nominal value of ARS 201,086,598, and Participation Certificates with a nominal value of ARS 1,092,095,510.

The public offering of the trust securities received automatic authorization from the Argentine Securities Commission (CNV) on October 7, 2026, without prior review by such regulatory authority. The trust securities are traded on A3 Mercados S.A. and listed on Bolsas y Mercados Argentinos S.A. (BYMA).

The VDFA, VDFB, VDFC and Participation Certificates were rated by FIX SCR S.A., Credit Rating Agency, as “AAA.ar,” “A+.ar,” “BBB+.ar,” and “CCC-.ar,” respectively.

Asociación Mutual de las Fuerzas Armadas y de Seguridad (AMFAyS) acted as settlor and servicer; Asociación Mutual 30 de Octubre para Empleados y Obreros Estatales de la Administración Pública and Cooperativa de Crédito, Vivienda, Turismo y Servicios Sociales del Personal del Servicio Penitenciario Federal Ltda. acted as collection agents; and TMF Trust Company (Argentina) S.A. acted as trustee. In addition, First Capital Markets S.A. and BACS Banco de Crédito y Securitización S.A. acted as arrangers and formed part of the placement syndicate together with Adcap Securities Argentina S.A., GMC Valores S.A., Provincia Bursátil S.A. and Momentum Capital Investment S.A.

Marval served as legal counsel to the trustee through a team led by partners Francisco Abeal and Martín Iván Lanús, together with associate Felicitas María Bereterbide. AMFAyS was advised by its own legal counsel.
