Marval advised the placement agents on Mercado Pago Servicios de Procesamiento S.R.L.’s Series 7 and Series 8 Notes issuance

Marval O’Farrell Mairal provided legal advice in a new capital markets and fintech transaction.
The Firm acted as legal counsel to Banco BBVA Argentina S.A., Industrial Valores S.A., Banco Patagonia S.A., Allaria S.A. and Macro Securities S.A.U., as placement agents, in the issuance of Series 7 and Series 8 Notes by Mercado Pago Servicios de Procesamiento S.R.L. (“MPSP”).
The Series 7 Notes were denominated and are payable in Argentine pesos, for an aggregate amount of AR$33,014,364,866, accruing a fixed interest rate of 28%, and are due on November 24, 2026. The Series 8 Notes were denominated and are payable in Argentine pesos, for an aggregate amount of AR$53,790,935,000, accruing a floating interest rate equal to the Private TAMAR rate plus a 4.25% margin, and are due on August 24, 2027.
The Notes were rated A1+(arg) by FIX SCR S.A. Credit Rating Agency (an affiliate of Fitch Ratings) and ML A-1.ar by Moody’s Local AR ACR S.A. Credit Rating Agency. They were also authorized for listing on A3 Mercados S.A. and Bolsas y Mercados Argentinos S.A.
MPSP is part of MercadoLibre’s financial solutions ecosystem, which offers consumers and merchants services for online commerce, payment processing in both digital and physical environments, and a broad range of financial services. Established in 2020 as part of the fintech ecosystem, MPSP operates as a Payment Service Provider in the acquirer category, primarily providing payment processing and card transaction settlement services.
TCA Tanoira Cassagne advised Mercado Pago Servicios de Procesamiento S.R.L. on the transaction through Partners Alexia Rosenthal and Ignacio Criado Diaz, together with Associates Lucia Viboud Aramendi, Carolina Mercero and Florencia Ramos Frean. Paulina Rossi, Natalia Amateis and Maria Sol Martinez acted as in-house legal counsel.
