Embotelladoras Arca, S.A.B. de C.V. ("Arca") and Ecuador Bottling Company Corp. ("EBC"), The Coca-Cola Company bottlers in Mexico and Ecuador respectively, created a strategic alliance in which they contributed their businesses in South America, including Argentina, in order to multiply the creation of synergies in the region.

As a result of the transaction, Arca kept a 75% stake and the management of the business, while EBC became a strategic partner holding the remaining 25%.
Arca contributed 25% of the shares of its subsidiaries in Argentina, in exchange for 75% of EBC’s voting shares, as well as EBC’s preferred non-voting shares.

In Argentina, EBC's legal counsel was Marval, O'Farrell & Mairal led by partners Jorge Octavio Cappellini and Pablo García Morillo and associates Agustín Lentini and Pilar Etcheverry Boneo.
