Province of Buenos Aires: Compulsory Re-Registration of Companies

By Resolution No 15/2008 of the provincial Ministry of Justice, companies and associations registered in the Province of Buenos Aires that are currently registered, are required to re-register in the Dirección Provincial de Personas Jurídicas or in Provincial Registries of Commerce, except for those registered after December 31, 2006.

In order to do so, companies will have to fulfill the following filing requirements:

a)      a form provided by the Registry signed by the legal representative of the company;

b)       minutes of the appointment of the Board of Directors;

c)       minutes of the approval of the financial statements of the last three years;

d)       annual financial statements of the last three years signed by a public accountant; and

e)       payment of a filing fee.

The non-fulfillment of the re-registration will cause the rejection of all procedures filed with the Provincial Registries of Commerce and the imposition of a fine.
