Marval O’Farrell Mairal Acted as Legal Advisor for the Creation of the “Red Mutual 56” Financial Trust

Asociación Mutual Unión Solidaria, acting as Settlor and Administrator, TMF Trust Company (Argentina) S.A., as Trustee, Banco Voii S.A. and BACS Banco de Crédito y Securitización, as Arrangers and Underwriters and Banco de Servicios y Transacciones S.A. and Banco Mariva S.A. as underwriters, securitized personal loans, through the creation of the Red Mutual Serie 56 Financial Trust under the Program and the issuance of trust debt securities for a total amount of ARS 216,100,700 and certificates of participation for a total amount of ARS 11,373,777. The issuance took place on June 23, 2020.

This transaction was authorized for public offering by the Argentine Securities and Exchange Commission (the “CNV”, after its acronym in Spanish) and is listed in Bolsas y Mercados Argentinos S.A. and Mercado Abierto Electrónico S.A.

The filing and authorization procedure was carried out remotely due to the social, preventive and obligatory isolation decreed by the Argentine Government. This first remote authorization by the CNV of a trust set up under the “Red Mutual” Global Program, as well as the successful placement of the product under this method, is truly a milestone, which was achieved thanks to the commitment, responsibility and professionalism of the parties involved.

Marval O’Farrell Mairal acted as the legal advisors of the Settlor and the Administrator, the Arrangers, and the Underwriters through a team consisting of partner Santiago Carregal and associates Sergio Tálamo and Jacqueline Berkenstadt, and as legal advisors of the Trustee, through a team consisting of partner Roberto E. Silva (Jr.), and associate Martín I. Lanús.
