Marval and Estudio Aranguren advised in joint venture between Lamb Weston International BV and Sociedad Comercial del Plata SA
Marval O'Farrell Mairal advised Lamb Weston International BV in the formation of a 50/50 joint venture with Sociedad Comercial del Plata SA in Alimentos Modernos SA (AMSA), a company engaged in the manufacturing, exporting and distribution of frozen potato products in Argentina and other South American countries.
The participation of Lamb Weston International BV in AMSA was implemented by means of: (i) the acquisition of certain shares of AMSA from Sierras de Mazán SAU, a subsidiary entirely owned by Ignacio Noel; and (ii) the performance of certain capital contributions in AMSA.
In addition to the investment agreement, the transaction involved the negotiation of certain agreements to govern the future relationship between Lamb Weston International BV and Sociedad Comercial del Plata SA. Moreover, it entailed the negotiation of certain commercial agreements with related parties.
The transaction was closed on October 15, 2019.
