Marval O’Farrell Mairal acted as local counsel in the implementation of Grupo Intercement’s judicial debt and capital restructuring plan in Brazil

InterCement Participações S.A., the third largest cement company in Brazil, and other foreign subsidiaries of its economic group (“Grupo Intercement”), completed on April 6, 2026 a debt and capital restructuring process in Brazil that had begun in 2024.

The restructuring was carried out within the framework of the implementation of a judicial reorganization plan (the “RJ Plan”) initially approved by Grupo Intercement’s financial creditors and subsequently confirmed by the Bankruptcy and Judicial Reorganization Court where the RJ Plan was processed in São Paulo, Brazil.

Through the RJ Plan, Grupo Intercement restructured debentures and bonds issued in the Brazilian capital markets and in the international capital markets, respectively. These debt instruments were originally secured by different types of real and personal guarantees governed by the laws of various jurisdictions.

Additionally, as part of the capital restructuring process, certain financial creditors of Grupo Intercement exercised the option to capitalize their claims through the subscription of new shares, and InterCement Participações S.A., indirect controlling shareholder of Loma Negra Compañía Industrial Argentina Sociedad Anónima, the leading cement company in Argentina (“Loma Negra”), increased its capital. As a result, the shareholding structure and management of Grupo Intercement and its various direct and indirect subsidiaries, including Loma Negra, were modified.

The restructuring involved advisors in Brazil (Stocche Forbes Advogados, Mattar e Munhoz Advogados), the United States (Cleary Gottlieb Steen & Hamilton LLP), Spain (Cuatrecasas), the Netherlands (Loyens & Loeff N.V.) and Argentina (Marval O’Farrell Mairal), among other jurisdictions.
