Marval O’Farrell Mairal advised on the acquisition of ENAP Argentina
Marval O’Farrell Mairal acted as legal counsel in the recent acquisition of ENAP Argentina, a company with interests in various oil and gas exploration and production areas.
Marval O’Farrell Mairal advised Empresa Nacional del Petróleo (ENAP), the Chilean state-owned oil company, and its international arm, ENAP Sipetrol SA (Sipetrol), in a competitive sale process that concluded on June 13 with the sale of:
its Argentine subsidiary, ENAP Sipetrol Argentina SA (ENAP Argentina), and
13.79% of the shares in Terminales Marítimas Patagonicas SA, held by Sipetrol, for an approximate total amount of USD 41,400,000.
ENAP Argentina holds interests in several areas focused on hydrocarbon exploitation and development, including:
(i) Campamento Central – Cañadón Perdido (Chubut Province)
(ii) CAM2A/SUR – Poseidón (Tierra del Fuego Province)
(iii) Magallanes (under the jurisdiction of the Argentine National Government and the provinces of Santa Cruz and Tierra del Fuego)
(iv) Octans Pegaso (under national jurisdiction beyond twelve nautical miles from the baseline and in Santa Cruz Province)
(v) Faro Vírgenes (Santa Cruz Province), through its interest in Petrofaro SA
