Marval advised Ángel Estrada y Compañía S.A. on the extension of its Notes Program
Marval O’Farrell Mairal advised Ángel Estrada y Compañía S.A. (“AESA”) on the five-year extension of its program for the issuance of simple (non-convertible) notes for an aggregate principal amount of up to US$30,000,000 (or its equivalent in other currencies or units of value).
As a result of this extension, AESA extended the term of the Program for five years as from June 2026, maintaining this financing tool available to continue issuing notes in the capital markets.
The transaction was carried out under the new automatic authorization regime implemented by the Argentine Securities Commission (Comisión Nacional de Valores, “CNV”), pursuant to which the extension of the Program and the update of its prospectus were not subject to the CNV’s prior approval or review.
This engagement reflects Marval O’Farrell Mairal’s involvement in the implementation of new regulatory tools in the Argentine capital markets and its continued assistance to issuers in adopting the regimes recently introduced by the CNV.
Marval O’Farrell Mairal acted as legal counsel to Ángel Estrada y Compañía S.A. through a team led by partner Sergio Tálamo, assisted by associates Lautaro Penza, Pedro María Azumendi and Felicitas María Bereterbide.
