Marval O’Farrell Mairal Advised on Pampa Energia’s Bond Issuance

Pampa Energía S.A. ("Pampa Energía"), a leading Argentine company in the oil, gas and electric power industry, successfully completed the placement and issuance in the local market of class 6 corporate bonds with a nominal value in pesos of ARS 6,355,109,030, subscribed and integrated in Pesos and/or in kind, by delivering class 4 and/or class 5 corporate bonds (the "Notes Series 6" or the "Notes", indistinctly).

Pampa Energía was advised by Salaverri, Burgio & Wetzler Malbrán; while Banco de Galicia y Buenos Aires S.A.U. and Banco Santander Río S.A., which acted as arrangers (together, the "Arrangers"); the Arrangers, together with HSBC Bank Argentina S.A., Industrial and Commercial Bank of China (Argentina) S.A. acted as placement agents (together, the “Placement Agents”); and Banco BBVA Argentina S.A., BACS Banco de Crédito y Securitizacion S.A., Banco Hipotecario S.A., Banco Mariva S.A., Banco de Servicios y Transacciones S.A., SBS Trading S.A., Balanz Capital Valores S.A.U., Puente Hnos. S.A., Invertir en Bolsa S.A., Banco Comafi S.A., Banco de la Provincia de Buenos Aires and Allaria Ledesma y Cía. S.A., acted as sub-placement agents (together, the “Sub-Placement Agents”, and them, along with the Placement Agents, the "Transaction Agents"), were advised by Marval O'Farrell Mairal.

The Notes were issued on July 29, 2020, under the Non-Convertible Simple Notes and/or Negotiable Obligations Convertible into Shares Program for up to USD 2,000,000,000 (or its equivalent in other currencies) (the "Program"). Notes Series 6, denominated and payable in Pesos, bear a variable interest rate resulting from the addition of the Applicable Margin to the Reference Rate. The Notes will mature on August 29, 2021.
