We advised Rasa Holding LLC in the purchase of a controlling interest in Insumos Agroquímicos SA

On April 9, 2021 Rasa Holding LLC entered into a share purchase agreement with shareholders Luis Santiago Delcasse and José Mrejen for a total of 11,022,000 Insumos Agroquímicos S. A. shares, representing 50.1% of the capital stock and 55.05% of the votes in Insumos Agroquímicos S. A.

The transaction was particularly complex due to time constraints and specific regulations applicable to companies with a public offering of shares. Thus, Rasa Holding LLC will launch a public offer to purchase class B shares of Insumos Agroquímicos S. A., listed in Bolsas y Mercados Argentinos S. A. (BYMA).

In addition, since the transaction is a concentration operation subject to notification before the Argentina Antritrust Commission (CNDC, after its Spanish acronym), Rasa Holding LLC made relevant filings before the CNDC.
