On August 20, 2020, Aeropuertos Argentina 2000 S.A. (“AA2000”) issued 0% Dollar-Linked Notes due 2022, for an amount of USD 40 million (the “Notes”).

The Notes were placed in Argentina and are governed by Argentine law. The Notes have been authorized for listing and trading in Bolsas y Mercados Argentinos S.A. and Mercado Abierto Electrónico S.A., respectively.

The issuance obtained significant investor support, to the extent that the Notes were sold on par with null yield.

Banco de Galicia y Buenos Aires S.A.U., Industrial and Commercial Bank of China (Argentina) S.A. (ICBC) y Banco Santander Río S.A. were organizers and placement agents of the Notes, while Macro Securities S.A., Allaria Ledesma & Cía. S.A., BACS Banco de Crédito y Securitización S.A., Puente Hnos. S.A. and Balanz Capital Valores S.A.U. acted as placement agents (together, the “Placement Agents”).

Marval O’Farrell Mairal advised the Placement Agents, whereas Bomchil advised AA2000.

AA2000 is the biggest airport concessionaire in Argentina since 1998 and it has the right, under a Concession Agreement entered into with the Argentine Government, to use, operate and manage 35 of the 54 airports in the Argentine airport system, including the two most transited airports in Argentina. It should be noted that this issuance is an additional transaction involving AA2000 in which Marval and Bomchil have acted as counsel, to be added to an extensive list including the issuance of AA2000’s notes in 2017 and their exchange offer in 2020 in the context of the COVID-19 pandemic, the Initial Public Offering of the shares of Corporación America Airports S.A., parent company of AA2000 and the granting of certain credit facilities to AA2000 in 2019 and their refinancing (which occurred simultaneously with the exchange offer).
