| La Procuración General de la Nación había emitido un dictamen en la causa “Grupo Posadas S.A.”, en el cual consideró que el acto administrativo dictado por la Administración Federal de Ingresos Públicos que rechazó la reorganización societaria resultaba nulo por tener vicios relativos a la competencia del funcionario actuante como así también en el procedimiento seguido para su dictado. La Corte Suprema de Justicia de la Nación rechazó tal criterio.
