The Exception Period for Holding Remote Meetings has Ended
The Public Registry of Commerce determined the end of the exception period for holding meetings remotely, unless contemplated in the bylaws.

On July 15, 2022, the Public Registry of Commerce (IGJ, by its acronym in Spanish) issued General Resolution 8/2022, which brings to an end the exception period for holding remote meetings, if this possibility is not contemplated in the bylaws. The exception period had been established in art. 3 of IGJ General Resolution 11/2020.
During the COVID-19 pandemic, the IGJ had issued General Resolution 11/2020, allowing companies, civil associations, and foundations’ administrative or government bodies to hold remote meetings using digital platforms. The IGJ stated that this possibility would only be available during a period of exception, even if the bylaws did not contemplate it, and while the government prohibited, restricted, or limited the circulation of people. After this exception period, remote meetings would only be allowed if the bylaws explicitly stated so.
Following General Resolution 8/2022, meetings planned to be held remotely will be admissible for up to 60 administrative working days after the publication of the Resolution. Once this period finishes, if societies, civil associations, or foundations need or wish to continue holding remote meetings, they will have to state so in their bylaws.
