Compañia MEGA Issues Notes for USD 59,556,688 for the First Time

On July 4, 2025, Compañia MEGA SA issued its Class 1 Notes, denominated and payable in USD in Argentina for a nominal amount of USD 59.5 million, which will accrue interest at a fixed rate of 7.50% and will mature on July 4, 2027. The notes were issued under the Global Program for the issuance of simple notes, non-convertible into shares, for a nominal amount of up to USD 500,000,000 or its equivalent in other currencies.
The placement of the notes was carried out by Industrial and Commercial Bank of China (Argentina) SAU, Banco de Galicia y Buenos Aires SA, Banco BBVA Argentina SA, and Banco Santander Argentina SA as arrangers and placement agents; and Banco Patagonia SA, Banco de la Provincia de Buenos Aires, BACS Banco de Credito y Securitizacion SA, Balanz Capital Valores SAU, and PP Inversiones SA as placement agents.
Compañia MEGA is an Argentine company whose main activity is in the industrial sector of natural gas processing. Its business focuses on adding value to natural gas through the separation and fractionation of its liquid components, obtaining propane, butane, natural gasoline, and ethane. The company has a separation plant in the Province of Neuqun, a fractionation plant in the City of Bahia Blanca (Province of Buenos), and a 600 km polyduct that connects them, crossing four provinces. In addition to the production and commercialization of these products, Compañia MEGA also provides services and sells energy to third parties.
The offer was directed to the local market. The notes have been authorized for listing on Bolsas y Mercados Argentinos SA and for negotiation on A3 Mercados SA.
