IGJ Implements Digital Registration Procedures
The Public Registry of Commerce of the City of Buenos Aires eliminates paper copies and enables electronic submission and delivery of filings.
On June 2, 2026, the Official Gazette published General Resolution 5/2026 of the Public Registry of Commerce of the City of Buenos Aires, which establishes a new registration procedure involving the generation and delivery of the registration certificate in digital format. The Resolution eliminates the requirement to submit paper copies of the original instrument and enables electronic delivery of registered documentation to the interested party through the digital platform enabled by the IGJ.
This is the fifth general resolution that the IGJ's new administration issues, thus furthering the regulatory reform process that began with the simplification of directors' registration (General Resolution 1/2026), the opening of public consultation (General Resolution 2/2026), the simplification of the corporate officers regime (General Resolution 3/2026), and the streamlining of the foreign companies regime (General Resolution 4/2026).
The main aspects of the new regulations are:
- Exemption from copies. The new Resolution eliminates the requirement to submit plain or wide-margin copies established in article 35 of Annex “A” of IGJ General Resolution 15/2024. The original instrument must still be filed in accordance with the formalities established in article 34, but it will no longer be necessary to attach additional copies.
- Digital registration certificate. Once the registration has been completed, the IGJ will generate the registration certificate in digital format, with the registered documents embedded, signed with the competent officer's digital signature. The certificate is the official record of the registration act and has full legal effect under article 11 of Law 25506.
- Electronic delivery. The certificate will be sent to the authorized recipient through the remote procedures platform (TAD), linked to the company’s tax ID. This eliminates the requirement of attending in person to collect the registered instrument.
- Digital protocol. The registration certificates generated under this procedure will be protocolized in accordance with article 43, last paragraph, of IGJ General Resolution 15/24. Paper records will not be necessary.
- General Inspector of Justice Resolutions in electronic format. When the implementation schedule incorporates acts requiring individual resolutions from the General Inspector, these resolutions will be issued electronically with the General Inspector’s digital signature, as provided under Law 25506.
- Authorized recipient information. The certifying professional must include in the filing form:
- the recipient's full name or corporate name,
- the recipient's tax ID linked to the TAD, and
- an alternative email address to correct any inconsistencies in the information provided.
Gradual implementation
The new procedure will be applied gradually to the entities and registrable acts included in the implementation schedule, which is published and updated on the IGJ official website. Filings not included in the schedule will continue to be governed entirely by the procedure in IGJ General Resolution 15/24.
The initial schedule establishes the following inclusion dates:
