Civil Associations and Foundations: New Registration Rules

1. Remote meetings

General Resolution 3/2026, published in the Official Gazette on May 13, 2026, establishes that, as a general rule, the governing and administrative bodies of commercial corporations may meet remotely, unless the articles of incorporation provide otherwise. This Resolution maintains safeguards to ensure that all attendees participate, that the meeting is properly documented, and that it is recorded in the corresponding corporate records.

Although this Resolution has not yet been expressly extended to civil associations, they are allowed to include remote meetings in their articles of incorporation.
 

2. Digital registration documentation

In turn, General Resolution 5/2026, published in the Official Gazette on June 2, 2026, establishes that the registration documentation the Public Registry of the City of Buenos Aires (IGJ) issues may be digital, with a digital signature from the competent official. This seeks to gradually replace paper-based documentation.
 

3. Electronic submission of documentation

Registered documentation will be sent electronically to the authorized representative that the certifying professional designated in the filing. Primary and alternate email addresses must be provided for this. Finally, it will no longer be necessary to submit certain paper copies required under the previous regime for procedures included in the new system.
